  • Registered address is the location where organization is located. It can be a commercial rented space or home address.
  • To register a BC Society (Non-Profit Organization), a BC Physical address is required where the government will send documents. If you do not have an BC address, our agency provides address and mail scanning service.
  • 3.1. Details of the Incorporator
  • Incorporator is the person who is filling up this form. It can be the head of the organization or can be a representative of him.
  • Director is the overall head of the organization. You can add one or more director, but every director has equal access and power to the corporation. Bank may ask all of the director to be present during opening a bank account. Please note, for a federal corporation, minimum 25% of directors (1 out of 4) must be either Canadian citizen or PR.

  • Anybody including an employee can be an officer to the organization. It's not as important role as of director. Any designation is fine. It's more important for big corporation.

  • CRA Business Number is needed to report organization's income and tax receipt with Canada Revenue Agency. Doing it later may cost much more & take longer processing time. We recommend to complete all necessary filing works in one shot and thus corporation will be completed.
  • If you make sales and generate revenue, for applicable amount, you are required to collect GST/HST; if you don't, you could be held liable by CRA. This is to prepare and keep ready of GST/HST account.
  • If you plan to take money from organization's account as salary, payroll account is needed. Most business owners take in from of both, salary and dividends to optimize tax. If corporation has employee now or plan to have employee in future, payroll account also needed.
  • If your organization involves in importing or exporting physical goods, it is required. The government uses this account to process customs.
  • A Minute book (organization's record book) is a corporate legal document prepared by a corporate lawyer. It includes by laws, organizational minutes and resolutions and other 9 more legal sections. Every organization must have a Minute Book as per corporation act. To open a bank account, a Minute Book is required by banks. This legal document defines the constitution and structure of the organization. Adding in package gives it much less price than preparing later manually by a corporate law firm.
  • Every non profit organization normally take official seal. Authorized and secured official seal is a protection against fraudulent activity. It has legal value (by default defended) than other values.
  • It is Workers' Compensation Board registration, required and obligatory if your corporation plan to have an employee, full time or part time. It is also required if you are in independent contract or sub-contract. For an an Independent IT contractor, it's also required. Different provinces calls it in different name, for example, WSIB in Ontario, WCB in Alberta, WSB in BC, CSST in Quebec etc.
  • Every new organization receives notices and instructions from CRA, federal govt, provincial govt, competitor etc. Therefore, most corporation goes to corporate law firm to get an explanation on these notices.
