Named or numbered corporation?
In a numbered corporation, a random number will be the name (ex. 21345 Ontario Ltd.). On the other hand, a named corporation will have a name such as Mike Construction Ltd. which will be protected by the government. What is NUANS report?
For a named corporation, a valid NUANS report is required. You have option to upload if you already have it, or can ask us to obtain it for you. If you upload, please ensure it's an Ontario NUANS report (not a federal one).
Any rules for corporation's name?
Generally a name should have two elements: distinctive and descriptive. The distinctive element can't be common English word, it has to be unique or made up words while descriptive element can be common English words. An example is "Mike Construction". In this name 'Mike' is the distinctive/unique element; 'Construction' is the descriptive element. Put your ideal name, if doesn't work, we will guide you.
Which legal suffix to choose?

Who is a director?
Directors are the overall head of the corporation, typically, all the owners. You can add more than one director (up to 10). Each director has equal power and control over the corporation.
How about foreigner?
Foreigners can be directors, incorporators, officers or shareholders. For an Ontario corporation, a director can be foreigner or Canadian citizen, there is no residency requirement.
How about doing for a client?

Why Minute Book Matters?
A Minute book is a corporate legal document prepared by a corporate lawyer. As per corporation act, a Minute book is MANDATORY. A Minute book consists of by laws, share structure and other legal sections. It's REQUIRED to open a bank account. Without it, a corporation is not complete. A Minute book must be presented when the corporation is audited. The next page will be skipped if you do not choose the Minute Book. We have kept it as optional because many law firms who have incorporated with us also got their minute book prepared by themselves.

Any advantage of doing in package?
When you incorporate a company, the expenses are called business development expenses which are tax creditable. Any spending you do after incorporation is considered as operating expenses which are not tax creditable. Doing it separately later is a manual process which also costs more and takes longer time.

What is an officer?
Anybody including an employee can be an officer to the corporation. It's not as important as the director. It's changeable at any time.
What designation to choose?
Any designation is fine. It's more important for a big corporation. It's changeable later.
Can same person be in many roles?

What number of share I put?
If you are the only shareholder, any number is okay, 100% owned by you. Most people put 1. It's changeable later. If more than one shareholder, put proportionately.
Can I change shareholder later?
Yes. You can add or remove sharehodler later at anytime.
How to put share in percentage?
Total share is calculated by adding up each shareholder's share number. Example: your share is 60, your spouse's share is 40. Then total shares = 60 + 40 = 100. In this case, you hold 60% and spouse holds 40%. If more than one shareholder and you want to assign in percentage, make total share number as 100.

Why need HST account?
It's the initial set up for a HST account with CRA. Every corporation must have a HST account to collect HST upon sales. Customer's invoice or receipt must show the HST number as well. Unable to collect HST may cause penalty by CRA.
What is payroll account?
The payroll account is applicable in all cases. Even if you do not have an employee, your own salary or a family member's salary can be processed through the payroll account to take advantage of CRA
'income splitting'
. Please note, this is not a payroll service, rather the initial set up of a payroll account with CRA.
What is import export account?
If your business involves importing or exporting physical goods, it is required. The government uses this account to process the customs clearance.

Why initial return is mandatory?
Every new Ontario corporation must file an initial return within 60 days of incorporation. Failure to do it may result in the corporation to be cancelled automatically.
What is domain name?
We are an agent of global domain registration. After your company name gets approved, we can instantly reserve a domain in your company name (example: www.companyname.com)
What is WSIB registration?
It's the Workplace Safety Board registration. If your corporation plans to have employees now or in future, it MUST be registered with WSIB. We register and give you your WSIB account number. Please note, it does not cost monthly premium fees, rather WSIB authority will advise on your eligibility of free program or fees.
Why should I choose in package?
Two major benefits:
1. Tax claimable:
cost that occurs during business set up, is called Business Development Expenses, is tax claimable. Costs that occurs after business already registered, is called operational cost, is not tax claimable. These costs will occur at any way, since these are mandatory filing, therefore, it's wise to include in the package.
2. The default process:
these filing to be done together with the corporation; hence, it's cheaper in package. To do this services later; there are manual forms and process; hence, costs more money and takes longer processing time.

What is share certificate?
Share certificates are legal and official proof of ownership of a corporation. Bank may ask to show it to open a bank account. Most people choose 5 share certificates to save costs; some choose 10 or 20. It includes blank certificates in case you want to add spouse, child or friend as shareholder in future.
What is corporate seal?
A corporate Seal is a protection against fraudulent activity. It has legal value (by default defends) in case anybody creates false docs or makes false loans in your company name. It's highly recommended if your company has frequent transactions or provides receipts and invoices. It's also needed if you go for a loan, mortgage, employment contract, service contract or any sub-contract.
What does service support include?
It includes legal, accounting and corporation update services. Every new corporation receives notices from CRA, federal & provincial government, competitor business etc. As a small company, if you do not have your own lawyer and accountant, our lawyer, accountant and corporation specialist are here for you.
